AI Agentics terms of service
These terms govern your access to and use of the AI Agentics platform, SDKs, APIs, documentation, and websites at aiagentics.io. Please read them carefully — they form a binding agreement between you and AI Agentics.

Welcome to AI Agentics. These Terms of Service (the "Terms") are a legal agreement between you — whether an individual, company, or other organization ("you" or "Customer") — and AI Agentics, Inc. ("AI Agentics", "we", "us", or "our") that governs your use of our agentic-AI platform, including the dashboard, the API, the official SDKs, hosted agent runtimes, templates, documentation, and the websites located at aiagentics.io (collectively, the "Services").
The short version (not a substitute for the full terms)
You may use AI Agentics to design, run, and operate AI agents, provided you follow the acceptable use rules below, pay any fees that apply to your plan, and respect our and others' rights. You own the content and agents you create; we own the platform. The Services are provided "as is", our liability is limited, and either party may end this agreement. Defined terms and full obligations follow.
1. Agreement to terms
By creating an account, accessing the dashboard, calling our API, installing an SDK, or otherwise using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Services.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. Where you have signed a separate written master agreement, order form, or data processing addendum with us, that document controls in the event of a conflict with these Terms. Enterprise customers should also review our Data Processing Addendum and security commitments.
2. Definitions
To keep these Terms readable, we use a few capitalized terms with specific meanings:
- "Agent" — any AI agent, multi-agent system, tool, workflow, or automation that you configure, deploy, or run using the Services, including its prompts, tools, and orchestration logic.
- "Customer Content" — any data, prompts, files, documents, code, vector embeddings, knowledge bases, and other materials you submit to or generate through the Services.
- "Output" — content, actions, tool calls, and results produced by an Agent in response to inputs.
- "API" — our application programming interfaces, documented at the API reference, and the official SDKs that wrap them.
- "Account" — the workspace and credentials through which you access the Services.
- "Plan" — the subscription tier, usage limits, and pricing you select on the pricing page or in an order form.
3. Accounts & eligibility
To use most of the Services you must register for an Account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your Account — whether or not authorized by you.
- You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding contract.
- You may not use the Services if you are barred from doing so under applicable export-control, sanctions, or other laws.
- You must promptly notify us at our contact page of any unauthorized use of your Account, API keys, or any other suspected security breach.
You are responsible for managing the access of your team members and for ensuring each user complies with these Terms. We may suspend Accounts that show signs of compromise to protect you and the platform.
4. Acceptable use
Agentic systems can take real actions in the world — calling APIs, writing data, sending messages, and executing code — so responsible use matters more here than on a passive chatbot. You agree to use the Services lawfully and in line with this Acceptable Use section. You may not, and may not permit your Agents or users to:
- Abuse the platform — attempt to gain unauthorized access, reverse engineer, scrape at scale, circumvent quotas, probe for vulnerabilities, or interfere with the integrity or performance of the Services.
- Ignore rate limits — exceed the documented rate limits or usage quotas for your Plan, run abusive retry loops, or deploy Agents that intentionally hammer the API or third-party endpoints. Build backoff and concurrency controls into your agent loops.
- Cause harm — use Agents to generate or distribute malware, conduct phishing, spread disinformation, harass others, produce content that exploits minors, or facilitate illegal, fraudulent, or dangerous activity.
- Misuse tools and integrations — direct Agents to access systems, accounts, or data you are not authorized to reach, or to take actions that violate a third party's terms.
- Build prohibited high-risk systems — deploy Agents for fully automated decisions in legally sensitive domains (such as medical, legal, financial, or safety-critical actions) without appropriate human oversight and your own compliance review.
Responsibility for your agents
You are responsible for your Agents' actions
Because Agents act autonomously, you — not AI Agentics — are responsible for the design, behavior, tools, permissions, and real-world effects of every Agent you deploy. This includes the data your Agents read or write, the messages they send, the code they execute, and any downstream consequences. You must implement appropriate guardrails, scoped credentials, human-in-the-loop review for sensitive actions, and monitoring. Treat agent permissions like production access: grant the least privilege necessary.
We may investigate suspected violations and may suspend or terminate access to any Agent, Account, or feature that we reasonably believe breaches this section, with or without prior notice where required to protect the Services or third parties.
5. Customer content & ownership
As between you and us, you retain all rights in your Customer Content and in the Agents you build. We do not claim ownership of your prompts, data, knowledge bases, or the Output your Agents generate.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Content solely to operate, secure, support, and improve the Services for you, and as otherwise described in our Privacy Policy. You are responsible for your Customer Content, for having the rights necessary to submit it, and for ensuring it does not infringe the rights of others or violate any law.
Unless you opt in through a separate written agreement, we do not use your Customer Content to train foundation models offered to other customers. You are responsible for backing up Customer Content; while we maintain redundancy, you should retain your own copies of anything critical.
6. Our intellectual property
The Services — including the platform software, SDKs, API design, orchestration engine, user interface, documentation, logos, and the "AI Agentics" name — are owned by us or our licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription, solely for your internal business purposes.
Except for the rights expressly granted here, we reserve all rights. You may not remove proprietary notices, use our trademarks without permission, or represent that you built the platform. Feedback you choose to share about the Services may be used by us without restriction or obligation to you.
7. Fees & billing
Paid Plans are billed according to the pricing and usage terms shown on our pricing page or in your order form. By selecting a paid Plan, you authorize us (or our payment processor) to charge the applicable subscription fees and any usage-based charges, such as agent runs, tokens, or tool calls beyond your included quota.
- Billing cycle — subscriptions renew automatically at the end of each cycle (monthly or annual) until cancelled.
- Usage charges — metered usage is calculated in arrears and shown in your dashboard.
- Taxes — fees are exclusive of taxes; you are responsible for any applicable sales, use, or VAT taxes.
- Non-payment — if a charge fails, we may suspend paid features after a reasonable notice period.
Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing on a going-forward basis with at least 30 days' notice before your next renewal.
8. Free trials
We may offer free trials, free tiers, or promotional credits so you can evaluate the Services. Trials are provided "as is" and may have reduced limits or features. Unless you cancel before the trial ends, your Account may automatically convert to a paid Plan at the then-current rates, and you authorize the corresponding charge. We may modify or discontinue any trial or promotional offer at any time, and we may limit eligibility to prevent abuse (for example, repeatedly creating Accounts to obtain new trials).
9. Third-party services & integrations
The Services let your Agents connect to third-party tools, model providers, data sources, and APIs through our integrations. Your use of any third-party service is governed by that provider's own terms and privacy policies, and you are responsible for any credentials, fees, and compliance obligations that apply. We are not responsible for the availability, accuracy, security, or actions of third-party services, and connecting them is at your own risk. If a third-party service changes or withdraws access, related Agent functionality may be affected.
10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that Output will be accurate, complete, or suitable for your purposes.
Agentic and generative AI systems are probabilistic. Output may be incorrect, biased, or unexpected, and Agents may take actions that do not match your intent. You are responsible for reviewing and validating Output and for the design of guardrails before relying on the Services in production. For current uptime information, see our status page.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid to us for the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations form an essential basis of the bargain and apply regardless of the theory of liability. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless AI Agentics and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your Agents and their actions or Output; (c) your use of the Services in violation of these Terms or applicable law; or (d) your violation of any third-party right. We will notify you of any such claim and may participate in the defense with our own counsel.
13. Term & termination
These Terms apply for as long as you use the Services. You may stop using the Services and close your Account at any time. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, fail to pay fees, create risk or legal exposure for us, or use the Services in a way that harms others or the platform.
On termination: (a) your right to access the Services ends; (b) accrued fees remain due; and (c) we will make Customer Content available for export for a limited period before deletion, except where retention is required by law. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration or small-claims resolution, except that either party may seek injunctive relief to protect its intellectual property or confidential information in any court of competent jurisdiction.
15. Changes to these terms
We may update these Terms from time to time to reflect changes in the Services, the law, or our practices. When we make material changes, we will update the "Last updated" date above and provide reasonable notice — for example, by posting in the dashboard, on the changelog, or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
Responsible-use checklist
- Scope credentials — give Agents the least privilege they need
- Honor rate limits — add backoff and concurrency caps to agent loops
- Add human review — for sensitive or irreversible actions
- Monitor and log — trace every decision and tool call
- Validate Output — do not auto-trust generative results
- Keep backups — retain copies of critical Customer Content
